1. Maintenance and Support

1.1 We will provide maintenance and support services necessary to ensure the System operates smoothly for our Users.

1.2 These services include bug fixes, minor updates, and technical assistance, provided in a timely and professional manner.

2. Intellectual Property Rights

2.1 All rights, title, and interest in the System, including source code, documentation, designs, and materials created by us, shall remain our property unless explicitly transferred to the Client under a separate agreement.

2.2 Users are granted a limited, non-exclusive, non-transferable right to access and use the System for personal or business purposes in accordance with these Terms.

2.3 Any pre-existing intellectual property we use in developing the System remains our property. Users are granted a license to use it solely as part of the System.

2.4 Users shall not copy, modify, sell, rent, or transfer any part of the System to third parties without our prior written consent.

2.5 Users' content, business rules, data, or customization concepts remain their property.

3. Confidentiality

3.1 Both parties agree to keep confidential information private and to use it only for the purpose of using or providing the System.

4. Force Majeure

4.1 We shall not be liable for any failure or delay caused by events beyond our reasonable control, including natural disasters, war, strikes, or government actions.

5. Amendment and Severability

5.1 We may update or amend these Terms at any time, and such changes will be effective upon posting. Continued use of the System constitutes acceptance of the updated Terms.

5.2 If any provision is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
